The Australian Passivhaus Association (APA) invites you to participate in our upcoming Extraordinary General Meeting (EGM). This meeting is being held to discuss and vote on proposed constitutional amendments aimed at enhancing APA's governance framework, specifically around board size and board member terms.


The proposed changes follow an in-depth review by the Board Chair and CEO, with input from the APA Board, identifying opportunities to strengthen stability and continuity within APA's governance model. Your involvement and feedback are essential to ensure that these changes align with member interests and APA's long-term strategic vision.


Key Topics of Discussion

  1. Board Size Adjustment: To improve recruitment, resource management, and meeting effectiveness, the APA Board proposes reducing the board size to a range of 5-8 members. Currently, APA's Board comprises 10 members, with potential simultaneous turnover of half the board, which can impact governance continuity.
  2. Board Terms Extension :To foster long-term strategic oversight, the Board proposes extending board member terms to three years, with a maximum consecutive tenure of six years. Directors would then observe a waiting period, twice the length of their tenure, before eligibility for re-election.
